Nuveriq Acceptable Use Policy

"Nuveriq" is a brand / DBA of CnergyPro Global Solutions LLC, a Texas limited liability company ("CnergyPro Global Solutions", "we", "us", or "our"). This Acceptable Use Policy (the "AUP") sets the rules for using nuveriq.com, the Nuveriq conversational procurement agent, and all related services (the "Services"). The AUP is incorporated into the Nuveriq Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.
By accessing the Services, you agree to this AUP. If you do not agree, do not use the Services.
1. Scope
1.1 This AUP applies to: (a) all users of the Services, including customers, guest visitors, account administrators, end users, and personnel acting on behalf of a customer; (b) all interactions with the Agent, the website, APIs, email, and other customer-facing surfaces; and (c) all Products purchased through the Services, where an acceptable-use restriction is imposed by the Vendor or applicable law.
1.2 Vendor Terms for a specific Vendor Product may impose additional acceptable-use rules for that Product. Those Vendor rules apply in addition to this AUP.
2. General Principles
You must use the Services: (a) lawfully, consistent with applicable federal, state, and local law; (b) in good faith, for legitimate business procurement purposes; (c) in accordance with the Terms of Service, the Purchase Terms, the Privacy Policy, and this AUP; and (d) without harming the Services, other users, Vendors, Distributors, or third parties.
3. Prohibited Uses
You may not:
3.1 Fraud and Financial Abuse
(a) Submit fraudulent Orders, provide false identity or payment information, or attempt to transact with stolen payment credentials. (b) Attempt to manipulate pricing, stack or abuse promotions, or exploit Quote expiration windows to obtain better terms than offered. (c) Refuse, reverse, or chargeback payments in bad faith. (d) Misuse credit limits, NET-30 terms, or tax exemption certificates (for example, by submitting exemption certificates you know to be invalid).
3.2 Unauthorized Resale
(a) Resell, redistribute, sublicense, or transfer Products in violation of Vendor Terms, reseller-of-record restrictions, or end-user-only licensing. (b) Purchase Products on behalf of an undisclosed third party where Vendor Terms require direct end-user status. (c) Engage in gray-market resale or circumvent geographic licensing restrictions.
3.3 Export and Sanctions Violations
(a) Purchase, export, re-export, transfer, or use Products in violation of U.S. export control laws (EAR, ITAR) or sanctions administered by OFAC or comparable authorities. (b) Ship or provision Products to embargoed countries or regions, denied parties (OFAC SDN list), or restricted entities (BIS Entity List, Military End-User List, or similar). (c) Use Products for prohibited end uses (including missile, nuclear, chemical, or biological weapons development, or certain military end uses in restricted jurisdictions).
3.4 Misuse of the Agent
(a) Use prompt injection, jailbreaking, adversarial inputs, or other techniques intended to bypass the Agent's safety, security, or business-logic controls. (b) Attempt to extract the Agent's system prompts, hidden instructions, proprietary data, Vendor catalogs, Distributor pricing feeds, or other non-public information. (c) Attempt to make the Agent produce content outside its intended scope (for example, legal, medical, or investment advice; or content unrelated to technology procurement). (d) Submit content to the Agent that is illegal, harassing, hateful, threatening, sexually explicit, or otherwise inappropriate for a business context. (e) Submit to the Agent personal data of third parties you do not have authority to share, protected health information, payment card numbers outside designated payment fields, or other sensitive information.
3.5 Scraping, Automation, and Data Extraction
(a) Scrape, crawl, harvest, or systematically extract data, Quotes, prices, or Agent responses from the Services (except via authorized APIs under an appropriate agreement). (b) Use automated tools (bots, scripts, crawlers) to interact with the Services without our prior written consent, except for standard search engine indexing on publicly indexable pages. (c) Use the Services to build or populate a competing catalog, price list, or service.
3.6 Competitive and Intelligence Misuse
(a) Use the Services for the primary purpose of gathering competitive intelligence on Vendors, Distributors, or Nuveriq. (b) Use Vendor Product information obtained through the Services in any way that would violate the confidentiality provisions of the Purchase Terms.
3.7 Security Violations
(a) Probe, scan, or test the vulnerability of the Services without authorization. (b) Breach or attempt to breach security or authentication controls, or access accounts, data, or systems you are not authorized to access. (c) Introduce malware, viruses, ransomware, worms, backdoors, or other malicious code into the Services. (d) Interfere with or disrupt the Services, networks, or other users (for example, through denial-of-service attacks, flooding, or excessive resource consumption). (e) Impersonate another person or entity, or misrepresent your affiliation with a person or entity.
3.8 Intellectual Property Violations
(a) Copy, modify, reverse engineer, decompile, or disassemble the Services or underlying code, except to the extent this restriction is prohibited by applicable law. (b) Remove, alter, or obscure any copyright, trademark, or other proprietary notices. (c) Use Nuveriq or CnergyPro Global Solutions trademarks, logos, or brand assets without written consent.
3.9 Illegal, Harmful, or Abusive Activity
(a) Use the Services to conduct or support illegal activity. (b) Use the Services to facilitate harassment, threats, stalking, discrimination, or violence. (c) Use the Services to transmit unsolicited bulk communications (spam) or to conduct phishing, pretexting, or social engineering attacks. (d) Use Products purchased through the Services to target critical infrastructure with malicious intent.
4. Account and Access Rules
4.1 One account per entity. Absent prior written approval, each legal entity is permitted one active procurement account.
4.2 Authorized users only. Only individuals authorized by the account-holding entity may access the account. Credentials are non-transferable.
4.3 Credential hygiene. Use strong passwords, enable multi-factor authentication when offered, and do not share credentials. Report suspected compromise to [security@nuveriq.com] immediately.
4.4 Accurate information. Provide accurate, current, and complete registration, billing, shipping, and tax-status information, and update it when it changes.
4.5 Delegated procurement. If you are a procurement administrator delegating access to colleagues, you are responsible for their compliance with this AUP.
5. Agent Interaction Guidelines
5.1 Reasonable use. Use the Agent for legitimate procurement tasks. Extreme automation (for example, making thousands of Agent calls per minute) is not permitted without a written agreement establishing rate limits and pricing.
5.2 Be specific and honest. Provide accurate context for your procurement requests (for example, quantity, license metric, shipping region) so the Agent can generate meaningful Quotes.
5.3 Content standards. Do not submit abusive, harassing, or offensive content to the Agent. The Agent is a business tool, not an appropriate forum for testing abusive inputs.
5.4 Do not rely on Agent outputs for regulated determinations. Do not rely on the Agent for legal, tax, export-classification, or regulatory determinations without independent review and verification.
6. Vendor-Specific Rules
6.1 Compliance with Vendor Terms. Certain Products are subject to additional Vendor rules, including qualification criteria (for example, education licensing, government licensing, non-profit terms), end-user-only restrictions, and acceptable-use policies. Comply with all applicable Vendor Terms.
6.2 True-ups and audits. Many Vendors reserve audit rights. If your use exceeds purchased license metrics, you may owe true-up fees directly to the Vendor.
7. Reporting Violations
7.1 If you become aware of a violation of this AUP, report it to [abuse@nuveriq.com] with: (a) the nature of the violation; (b) relevant Order, account, or session details; and (c) any supporting documentation.
7.2 For security vulnerabilities, report to [security@nuveriq.com]. Please act in good faith and do not exploit vulnerabilities beyond what is necessary to demonstrate them.
8. Enforcement
8.1 Investigation. We may investigate suspected violations, including reviewing Agent conversations, account activity, and Order history.
8.2 Graduated response. Depending on severity, we may: (a) issue a warning; (b) require remediation; (c) rate-limit, restrict, or suspend Agent access, account access, or specific features; (d) cancel or refuse Orders; (e) terminate the account; (f) reverse or claw back transactions; (g) report violations to Vendors, Distributors, law enforcement, or regulators; and (h) pursue civil or criminal remedies.
8.3 Immediate action. For violations that create risk of imminent harm — for example, fraud, security attacks, export control concerns, or denied-party activity — we may take immediate action without prior notice.
8.4 No waiver. Our decision not to enforce this AUP in a particular instance is not a waiver of our right to enforce it in the future.
8.5 Cooperation. You agree to cooperate with our investigations and, where applicable, with law enforcement requests we are required to honor.
9. Changes to This AUP
We may update this AUP from time to time. Updates are effective when posted, except that we will provide reasonable notice of material changes. Continued use of the Services after changes take effect constitutes acceptance.
